Terms and Conditions for Consultancy Services
These Terms and Conditions govern the provision of data protection consultancy services by JH Data Protection Limited (Company No. 16501012), registered in England and Wales.
1. Services Provided
JH Data Protection Ltd (“we”, “us”) provides consultancy services relating to data protection, privacy compliance, information governance, training, and related advisory work. JH Data Protection Ltd is an unregulated consultancy. Although Jemma Handley is legally trained, we are not an SRA‑regulated law firm and do not provide reserved legal services.
The scope of services will be agreed in writing with the client before any work begins.
2. Fees and Payment
Fees will be outlined in advance and confirmed in a written proposal or agreement. Payment is due within 14 days of invoice, unless otherwise agreed.
Late payments may incur statutory interest and debt recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3. Confidentiality
We will treat all information provided by the client as confidential and will not disclose it to any third party without written consent, unless required by law.
4. Data Protection
In providing services, we may process personal data on your behalf. Where this occurs, a separate Data Processing Agreement (DPA) will be provided as required under UK GDPR.
Each party will comply with their respective obligations under applicable data protection law.
5. Intellectual Property
Any reports, materials, or templates provided during the consultancy remain the intellectual property of JH Data Protection Limited unless otherwise agreed. Clients are granted a non-exclusive, non-transferable licence to use materials for internal purposes only.
6. Limitation of Liability
We provide advice in good faith and to the best of our expertise. However, we do not accept liability for any loss, damage, or expenses incurred arising from decisions made based on our advice, except where required by law.
Our liability is limited to the amount paid for the services in question.
7. Cancellation and Termination
Either party may cancel the agreement with 7 days’ written notice. Charges will apply for any work completed up to the cancellation date.
8. Governing Law
These Terms and Conditions shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
